Short-Term Equipment Lease Agreement for Cryotherapy Device

This Short-Term Equipment Lease Agreement (the “Agreement”) is entered into as of the date of signing, by and between Apex Equine Therapy, located at Adelaide, South Australia, referred to as the “Lessor,” and the “Lessee.” noted at the end of this agreement.

1. Lease of Equipment

  • Equipment: The Lessor leases to the Lessee the following equipment (the “Equipment”):
    • CO2 Spray Cryotherapy Device (including all necessary accessories, components, and manuals).
  • Purpose of Equipment: The Equipment is leased solely for the treatment of animals, including horses, as specified in this Agreement.

2. Lease Term

  • Lease Start Date: noted below.
  • Lease End Date: noted below.
  • The lease term may be extended upon mutual agreement in writing by both parties before the expiration date.

3. Payment and Fees

  • Lease Fee: Either noted below, or via alternative communication - due on or before the end date of the lease term, or within 14 days of the start of the lease term.
  • Security Deposit: Noted below, payable by the Lessee upon signing this Agreement. This deposit covers any damages, loss, or unpaid lease fees and will be refunded upon satisfactory return of the Equipment.
  • Late Fees: Late fees may be applied for any overdue payments not received within 14 days of the due date.

4. Delivery and Return of Equipment

  • Delivery: The Lessor will arrange delivery of the Equipment to the Lessee’s facility at the Lessee’s Address on the Lease Start Date. The Lessee agrees to store and operate the Equipment in a secure and appropriate environment.
  • Return: The Lessee shall return the Equipment in good condition on or before the Lease End Date. Any damage beyond normal wear and tear will be assessed and deducted from the security deposit.

5. Use and Maintenance

  • Use of Equipment: The Equipment is to be used solely for its intended purpose and operated only by trained personnel.
  • Restrictions on Use: The Equipment shall not be used by any third party nor relocated from the initial location at Lessee’s Address without written consent from the Lessor.
  • Maintenance: Routine maintenance and cleaning of the Equipment are the responsibility of the Lessee. Any additional repairs required due to misuse or damage are the Lessee’s responsibility.

6. Insurance and Liability

  • Lessee’s Insurance: The Lessee agrees to maintain liability insurance covering the Equipment while it is on their premises.
  • Indemnification: The Lessee agrees to indemnify and hold the Lessor harmless from any claims, damages, or injuries arising from the use of the Equipment.

7. Training and Compliance

  • Training: The Lessor will provide initial training on the proper use of the Equipment. All personnel designated to operate the Equipment must attend this training session.
  • Compliance: The Lessee agrees to comply with all laws and animal welfare guidelines applicable to the use of cryotherapy on animals.

8. Damage, Loss, and Repair

  • Damage or Loss: The Lessee is responsible for any damage or loss to the Equipment beyond normal wear and tear.
  • Repair Notification: The Lessee shall notify the Lessor immediately of any need for repairs and cease use of the Equipment until repairs are completed.

9. Termination and Default

  • Termination by Lessor: The Lessor reserves the right to terminate this Agreement immediately if the Lessee breaches any term of this Agreement.
  • Early Termination by Lessee: The Lessee may terminate the lease early with a minimum of two days’ notice and may be subject to an early termination fee.
  • Return of Security Deposit: The security deposit will be refunded within 7 days days after the Equipment is returned in satisfactory condition, if required.

10. Warranties and Representations

  • Lessor’s Warranties: The Lessor warrants that the Equipment is in good working condition at the start of the lease.
  • Lessee’s Representations: The Lessee represents that they are trained in the use of the Equipment and will operate it safely and only for its intended use.

11. Confidentiality

  • Confidentiality Clause: Both parties agree to keep all proprietary information, including training materials and operating manuals, confidential.

12. Governing Law and Dispute Resolution

  • Governing Law: This Agreement shall be governed by the laws of South Australia.
  • Dispute Resolution: In the event of a dispute, the parties agree to mediation before pursuing legal action.

13. Entire Agreement

  • This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Any modifications must be in writing and signed by both parties.
